These Terms of Service ("Terms") govern your access to and use of the software, websites, and services provided by Aureon Systems Ltd ("Aureon," "we," or "us"). By accessing or using our services, you agree to be bound by these Terms.

1. License and Scope of Use

Subject to these Terms, Aureon grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our software products (including The Hotel Manager, AureonPetro, Dinvoice, and Bizz Court) solely for your internal business operations.

Restrictions: You shall not reverse engineer, decompile, or attempt to extract the source code of our software, nor shall you use the services to build a competitive product.

2. Subscription and Payments

Fees: You agree to pay all fees specified in your service agreement or subscription plan.
Billing: Fees are typically billed in advance and are non-refundable except as required by law.
Taxes: Unless otherwise stated, fees do not include applicable taxes (e.g., VAT), for which you are responsible.

3. Product-Specific Clauses

3.1 Hospitality & Management (The Hotel Manager)

The client is responsible for the accuracy of guest data and compliance with local hospitality regulations. Aureon provides the platform "as-is" for record-keeping and management.

3.2 Fuel Station Operations (AureonPetro)

Aureon is not liable for inventory discrepancies resulting from hardware failures not provided by Aureon or from manual data entry errors by the client's staff.

3.3 Financial Services (Bizz Court & Dinvoice)

Clients are responsible for ensuring that all financial data entered is accurate and compliant with local tax laws. Aureon does not provide accounting or tax advice.

3.4 Rental Property Management (Rentace)

Aureon provides tools for rent collection and maintenance tracking; however, the client remains solely responsible for tenant relations and physical property maintenance.

3.5 Professional Services (Custom Web Design)

Project timelines for custom web design are estimates. Aureon retains ownership of any pre-existing code or assets used in the project, while granting the client a license for the final delivered product.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUREON SYSTEMS LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

5. Indemnification

You agree to indemnify and hold harmless Aureon Systems Ltd from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the services or your violation of these Terms.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict of law principles. Any disputes shall be resolved in the competent courts of Kampala, Uganda.
